Before you sign a term sheet, know your numbers. Enter your cap table and your round; the workbook shows ownership before and after, the price per share, and how each note converts. It handles iSAFE and SAFE notes with a valuation cap, a discount, or both: each converts at whichever gives the lower price, and the cap can be pre-money or post-money, since agreements differ and it changes the result. It solves the option pool top-up exactly: new options created before the round, diluting existing holders rather than the new investors. Up to 10 shareholders and 8 notes, with each note's conversion price and whether the cap or the discount applied. An ESOP grant sheet shows one employee's options at the round price and a vesting schedule with a cliff. Numbers are in the Indian format. A worked example with fictional numbers (a ₹2 Cr SAFE at an ₹18 Cr cap, converting in a ₹50 Cr pre-money round raising ₹12 Cr with a 10% pool) ends at 7.69% with a pre-money cap or 8.54% with a post-money cap, so you can see why the definition in your agreement matters.
